These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User," "you," or "your") and 16701043 Canada Inc. ("Company," "we," "us," or "our"), concerning your access to and use of the Foodie Run web and mobile application (the "Application" or "Service"). By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.
1. Definitions
- "Application" means the Foodie Run software platform, including all web and mobile interfaces.
- "User Data" means all data, information, and content entered, uploaded, or generated through your use of the Application.
- "Subscription" means the paid or complimentary plan under which you access the Application.
- "Trial Period" means the limited-time free evaluation period offered to new Users.
2. Eligibility & Account Registration
- You must be at least eighteen (18) years of age and legally capable of entering into binding contracts to use the Application.
- You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
- You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account.
- You may invite team members to access your account. As the account owner, you are responsible for all actions taken by users you have invited.
3. License to Use
Subject to your compliance with these Terms and your active Subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for your internal business operations during the term of your Subscription.
You agree not to:
- Copy, modify, distribute, sell, or lease any part of the Application without prior written consent.
- Reverse engineer, decompile, or disassemble the Application or attempt to derive its source code.
- Use the Application for any unlawful purpose or in violation of any applicable Canadian or international law.
- Interfere with or disrupt the Application's servers, security, or functionality.
- Enter knowingly false, misleading, or fraudulent data into the financial or operational reporting tools.
4. Subscriptions, Trial & Billing
- The Application offers subscription plans with pricing and features as published on the Application. We reserve the right to modify pricing with reasonable advance notice.
- A valid credit card is required at registration to start a Trial Period. Your card will be verified at signup and automatically charged at the end of the Trial Period on a monthly basis ($19.99 CAD/month) unless you cancel before the Trial Period ends. New Users may be offered a Trial Period at our discretion. Trial Periods are limited in duration and may be terminated or modified at our discretion. Unused portions of a Trial Period are not refundable or extendable.
- Paid Subscriptions are billed in advance on a monthly or annual basis in Canadian Dollars (CAD) through our payment processor, Stripe.
- All fees are non-refundable except where required by applicable law. You may cancel your Subscription at any time; cancellation takes effect at the end of the current billing period.
- Taxes, including GST/HST, are applied where applicable in accordance with Canadian tax law.
5. Data Privacy & Canadian Data Storage
- All User Data is stored on secure servers located within Canada and does not leave Canadian jurisdiction.
- We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.
- User Data is encrypted in transit and at rest using industry-standard encryption protocols.
- We do not sell, rent, or trade your User Data to third parties.
- You retain full ownership of your User Data. You may export your data at any time through the Application's export tools, and you may request deletion of your data upon account closure.

6. Intellectual Property
The Application, including its design, features, branding, and underlying technology, is the intellectual property of 16701043 Canada Inc. "Foodie Run" is a registered trademark of 16701043 Canada Inc. Nothing in these Terms grants you any right to use the Company's trademarks, trade names, or other proprietary identifiers except as expressly authorized in writing.
7. Disclaimers & Limitation of Liability
- The Application is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
- The Application provides financial and operational reporting tools for informational purposes. It is not a substitute for professional accounting, tax, or legal advice. You should consult qualified professionals for such matters.
- We do not guarantee that the Application will be error-free, uninterrupted, or free of security vulnerabilities, although we employ reasonable corporate best practices to maintain its integrity.
- To the maximum extent permitted by applicable law, 16701043 Canada Inc., its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of or inability to use the Application.
- Our aggregate liability for any claim arising out of or relating to these Terms shall not exceed the total amount you have paid to us in the three (3) months preceding the event giving rise to the claim.
8. Indemnification
You agree to indemnify and hold harmless 16701043 Canada Inc., its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of your use of the Application, your violation of these Terms, or your infringement of any third-party rights.
9. Termination
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or applicable law. Upon termination, your right to use the Application ceases immediately. You may cancel your account at any time through the Application. Provisions relating to intellectual property, disclaimers, liability, and data retention shall survive termination.
10. Governing Law & Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
- Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation.
- If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of British Columbia, Canada.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Application or via email. Your continued use of the Application after any changes take effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
